These Terms of Use (“Terms”) form a binding agreement between you (“you,” “your,” “Member”) and RWA BTC Limited Liability Company, a Wyoming limited liability company (“TTP,” “we,” “us,” “our”), operator of The Token Playbook platform at thetokenplaybook.com and related services (the “Platform”).
By creating an account, accessing the Platform, or clicking “I agree,” you accept these Terms. If you are using the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity. If you do not agree, do not use the Platform.

All Content on the Platform — including articles, analysis, AI outputs, member-contributed posts, chapter sponsorship content, and third-party material — is provided for informational and educational purposes only. Nothing on the Platform constitutes legal, financial, investment, tax, accounting, or regulatory advice, an offer to sell or buy securities, or a recommendation. Always consult qualified professionals before making any decision. Past performance is not indicative of future results.
AI outputs may be inaccurate, incomplete, out-of-date, or fabricated. Verify independently before relying on any AI output. AI Tools do not establish a professional advisory relationship.
Third-party content (including X posts, member-contributed material, and sponsor-proposed edits) does not represent the views of TTP, and TTP does not endorse, verify, or guarantee its accuracy.
1. Definitions
- “Account” means your registered Platform account.
- “Content” means all materials made available through the Platform, including articles, AI outputs, the Book, member registry entries, posts, comments, snippets, chapter sponsorships, and metadata.
- “Book” means the collaborative work on tokenization and real-world assets authored by Dave Hendricks and published through the Platform, including all member-contributed edits and sponsor-proposed edits accepted by editorial.
- “Member” means a person with an Account, regardless of tier.
- “Subscription” means any paid Platform access plan.
- “User Content” means Content submitted, posted, uploaded, or otherwise contributed by a Member.
- “AI Tools” means AI-powered features offered on the Platform, including the AI-powered advisor.
2. Service Description
The Platform is a curated intelligence service for professionals working in tokenized securities and real-world assets (“RWA”). Features include news analysis and digest, member registry, events listings, jobs board, the Book, AI Tools, X (Twitter) debate and hot-takes monitoring of curated public accounts, bookmarking, snippet sharing, “Mark as Read” reading progress tracking, a planned credits system, and chapter sponsorship.
3. Eligibility and Accounts
You must be at least 18 years old and legally able to form a binding contract. The Platform is not intended for users in jurisdictions subject to U.S. sanctions or for individuals on U.S. denied-party lists; you represent you are not such a person.
You agree to: (a) provide accurate, current registration information; (b) maintain the confidentiality of your credentials; (c) be solely responsible for all activity under your Account; and (d) notify us promptly of any suspected unauthorized use.
Accounts are personal and non-transferable. One person, one Account. Sharing credentials or operating multiple Accounts is grounds for termination without refund.
4. Membership Tiers and Subscriptions
Tiers. Free trial, L2, L1, OG. The OG tier is limited to 300 founding seats; once filled, additional OG seats may not be available. OG seats are non-transferable.
VIP / Curated-Account Free Membership. From time to time, TTP may invite holders of curated public X accounts to free Platform membership, subject to identity verification (matching X handle to person). VIP membership may be revoked at TTP's discretion.
Free trial. A 14-day full-access trial is available to new Members. After the trial expires without upgrade, the Account converts to read-only. Read-only access is a courtesy, not a paid tier, and may be modified or revoked at any time.
Billing and auto-renewal. Paid Subscriptions are billed monthly or annually in advance through Stripe. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the then-current rate at the end of each term unless you cancel before the renewal date. By starting a Subscription, you authorize TTP and Stripe to charge your payment method for each renewal.
Cancellation. You may cancel at any time from your Account settings (cancellation is as straightforward as sign-up). Cancellation takes effect at the end of the current billing period; access continues until then.
Refunds. Subscriptions are non-refundable for partial periods. We may, at our sole discretion, issue refunds in cases of billing error or service unavailability.
Price changes. We will provide at least 30 days' notice of price changes affecting your next renewal. Continued use after the effective date constitutes acceptance.
Suspension for non-payment. We may suspend or terminate your Account if a payment fails and is not cured within a reasonable period.
Taxes. Listed prices do not include taxes. You are responsible for applicable sales, use, VAT, and other taxes.
Credits (planned feature). TTP may offer a credits system rewarding Members for chapter reads or other engagement. Credits: (a) have no cash value; (b) are non-transferable; (c) expire on terms set by TTP; (d) are forfeited on Account termination; and (e) may be modified, suspended, or discontinued at TTP's discretion. Detailed credits terms will be published when the system launches.
5. Acceptable Use
You agree not to:
- Scrape, crawl, spider, harvest, or use automated tools to extract Content (except as expressly permitted via supported APIs).
- Use Content (including the Book and AI outputs) to train, fine-tune, or otherwise develop machine learning models, large language models, or competing AI systems.
- Redistribute, resell, sublicense, syndicate, or publicly post Content beyond the snippet-sharing feature described below.
- Share credentials, operate multiple Accounts, or exceed authorized seat counts.
- Use the Platform to build, market, or operate a product or service that competes with the Platform.
- Reverse engineer, decompile, or attempt to derive source code from the Platform.
- Interfere with or disrupt Platform operations, security features, or rate limits.
- Upload malware, exploit vulnerabilities, or probe for vulnerabilities without prior written authorization.
- Submit or post Content that is unlawful, infringing, defamatory, harassing, hateful, threatening, sexually explicit, or knowingly false or misleading.
- Impersonate any person, including curated-account VIP identity claims you cannot verify.
- Use the Platform in violation of export controls, sanctions, or other applicable law.
We may investigate suspected violations and may suspend or terminate Accounts immediately for serious or repeated violations, with or without notice.
6. Snippet Sharing
L1 and OG Members may share excerpts of Content of up to 100 words on external platforms, provided each shared snippet: (a) includes attribution to The Token Playbook and a link back to the source, where available; (b) is not modified to alter meaning; and (c) is not aggregated to circumvent the 100-word limit. Snippets remain TTP's intellectual property; the snippet feature grants Members a limited license, not ownership.
7. User-Generated Content
L1 and OG Members may contribute User Content, including registry entries, deal postings, posts, comments, and proposed edits to the Book.
License to TTP. You grant TTP a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, perpetual, and irrevocable license to host, store, reproduce, modify (for formatting, editorial, and accessibility purposes), publicly display, publicly perform, distribute, and otherwise use your User Content in connection with operating, providing, promoting, and improving the Platform, including the Book. To the extent permitted by law, you waive moral rights in User Content.
Your representations. You represent and warrant that: (a) you own or have all necessary rights to your User Content and to grant the license above; (b) your User Content does not infringe, misappropriate, or violate any third-party right; and (c) your User Content complies with these Terms and applicable law.
Editorial discretion. TTP may, at its sole discretion, edit, refuse, remove, or take down any User Content, including for legal, editorial, accuracy, quality, or community-standards reasons. We are not obligated to display, retain, or restore any User Content.
Feedback. Any feedback, suggestions, or ideas you submit to TTP are non-confidential, and you grant TTP a perpetual, irrevocable, worldwide, royalty-free license to use them without obligation.
8. The Book and Chapter Sponsorship
The Book is authored by Dave Hendricks. Editorial control over the Book — including final decisions on inclusion, structure, and publication of any chapter, edit, or sponsored material — rests solely with TTP and the author.
Members may submit proposed edits, which TTP and the author may accept, modify, or reject in their sole discretion. By submitting edits, you grant TTP the license described in Section 7.
Chapter Sponsorship. Sponsors of Book chapters receive the right to propose edits, which are reviewed under the same editorial process as Member edits. Sponsorship does not confer editorial control, veto power, or any guarantee that proposed edits will be accepted. Sponsored chapters will be clearly labeled as sponsored, in accordance with FTC guidance on sponsored content. Sponsorship fees are non-refundable except as required by law.
9. Intellectual Property
The Platform and all Content, other than User Content, are owned by RWA BTC Limited Liability Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. “The Token Playbook” and related logos are trademarks of TTP. All rights not expressly granted are reserved.
Subject to your compliance with these Terms and your active Subscription, TTP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Content for your internal professional purposes.
10. DMCA / Copyright Policy
TTP respects intellectual property rights. If you believe Content on the Platform infringes your copyright, send a notice to our designated agent containing the information required by 17 U.S.C. §512(c)(3):
- A physical or electronic signature of the rights holder or authorized agent.
- Identification of the copyrighted work claimed to be infringed.
- Identification of the allegedly infringing material and its location on the Platform.
- Your contact information.
- A statement of good-faith belief that the use is not authorized.
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act.

We will respond to valid notices in accordance with the DMCA, including by removing or disabling access to allegedly infringing material and notifying the user who posted it. Users may submit counter-notices under §512(g). Repeat infringers' Accounts will be terminated.
11. Termination
You may terminate your Account at any time by canceling your Subscription and requesting closure. We may suspend or terminate your access at any time, with or without cause, including for violation of these Terms, non-payment, fraud, or risk to the Platform or other users.
On termination: (a) your right to access the Platform ceases; (b) Subscription fees already paid are non-refundable except as expressly stated; (c) credits are forfeited; (d) Sections 7 (license grant), 9, 12, 13, 14, 15, 16, 17, 18, and any provision that by its nature should survive, will survive.
12. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
12.1 Binding Arbitration. Except for disputes that qualify for small claims court, you and RWABTC Ltd agree that any dispute, claim, or controversy arising from or relating to these Terms or your use of the Platform shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court.
12.2 Class Action Waiver. YOU AND RWABTC LTD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION.
12.3 Small Claims. Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
12.4 Opt-Out. You may opt out of arbitration by sending written notice to legal@inbound.thetokenplaybook.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.
12.5 Exceptions. Nothing in this section prevents either party from seeking injunctive or other equitable relief for intellectual property violations, unauthorized access, or other matters where monetary damages would be inadequate.
12.6 Governing Law. Arbitration shall be conducted in Wyoming. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
13. Third-Party Services
The Platform integrates with or depends on third-party services, including Stripe, Supabase, Anthropic, Cloudflare, X (Twitter), Resend, and Beehiiv. We are not responsible for the acts, omissions, terms, or policies of those third parties. Your use of third-party services is governed by their terms.
14. Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TTP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT AI OUTPUTS, MEMBER CONTENT, OR THIRD-PARTY CONTENT ARE ACCURATE, COMPLETE, OR RELIABLE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TTP OR ITS OFFICERS, MEMBERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TTP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TTP IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
These limitations apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
16. Indemnification
You will defend, indemnify, and hold harmless TTP and its officers, members, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Platform; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
17. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution. Before filing a formal claim, you agree to contact us at legal@inbound.thetokenplaybook.com and attempt informal resolution for at least 30 days.
Venue. Subject to the arbitration provision in Section 12, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction and venue there.
Jury trial waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TTP WAIVE THE RIGHT TO TRIAL BY JURY.
18. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by email and/or in-platform notice at least 30 days before they take effect. “Material” means changes that meaningfully reduce your rights or increase your obligations. If you object, you may terminate your Account before the effective date; continued use after the effective date constitutes acceptance.
19. General Provisions
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver.
- Assignment. You may not assign these Terms without our prior written consent. We may assign without restriction, including to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms, together with the Privacy Policy and any order forms or supplemental terms, constitute the entire agreement between you and TTP and supersede prior agreements.
- Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
- Notices to TTP. Legal notices must be sent to legal@inbound.thetokenplaybook.com with subject line “Legal Notice.” Notices to you may be delivered via email or in-platform notice.
- Headings. Headings are for convenience only.
- Beta features. Features identified as “beta,” “preview,” or “experimental” are provided without warranty and may be modified or discontinued at any time.
- U.S. government users. The Platform is “commercial computer software” under FAR 12.212.
- Electronic communications. You consent to receive communications from us electronically. Electronic communications satisfy any legal requirement for written communication.
